September 16, 2006 heralds the dawn of a new era for all those involved in the process of statutory filings under the Companies Act, 1956. We cross the digital divide on this day, with all future transactions being in the electronic mode only. This is the opportunity to move seamlessly into a new transparent, hassle-free, e-Governance environment, full of exciting possibilities.

I am happy to note the overwhelming response of all the stakeholders to the Ministry’s MCA-21 initiative I e-Governance, which has made this possible. I thank the corporate world and the professionals for their proactive support in this effort, and look forward to their continued commitment and involvement in adoption of technology-driven processes for the success of this revolutionary initiative.

eFiling with digital signature certificates made mandatory

eFiling with digital signature certificates made mandatory from 16th Sep 2006.Please download the latest versions of Form 32 & 32AD. The following forms for annual filing (Form62, Form23AC, Form20B and Form21A) have been modified. New Forms (Form23ACA and Form66) have been introduced for Annual Filing. These are effective from 18th September 2006.

Why USB e-token ?

A Digital Signature certificate (DSC) is kept in internet explorer of computer system (PC) but keeping DSC on your computer system has following draw backs :-

a) It can be misused by anyone who is having access to your computer system.
b) DSC is lost if computer system is formatted or internet explorer is changed.

Accordingly, safe and proper method is to keep DSC on , a small USB port devise, which is password protected. The said is a small hardware device and can be plugged to USB port of any system to digitally sign the documents and when not in use can be kept in safe custody.

Who Needs Digital Signature Certificate

Under Every person who is required to sign manual documents and returns filed with ROC is required to obtain a Digital Signature Certificate (DSC). Accordingly following have to obtain Digital Signature Certificate:

1. Directors
2. Auditors
3. Company Secretary - Whether in practice or in job.
4. Bank Officials - for Registration and Satisfaction of Charges
5. Other Authorized Signatories.

With MCA21 one would be embarking from paper based environment to a paperless one. e-filing date extended

Keeping in view the requests from company representatives and professionals, the Ministry has decided to extend the time limit for filing by the companies without the use of Digital Signature Certificates (DSC), beyond 31st July 2006, 45 days i.e. up to 15th September 2006. Please download the latest versions of Form 32 & 32AD from the portal.

MCA21 Project Launched

Ministry with its Kolkata launch of Programme has made 19 out of 20 Registries live across India. Jammu registry is expected to go live by 3rd week of August 06.
